Objective: This research aims to present an organizational governance model based on organizational ambivalence. Therefore, in terms of objective, it is an applied research. Method: The method of the present research is a mixed design type. In the qualitative section, 30 articles were determined as research samples to perform meta-synthesis using the Sandusky and Barroso method. Therefore, in the fuzzy Delphi stage, 20 people were selected to participate in the Delphi panel using the purposeful and judgmental sampling method to determine the sample size. In the quantitative section, the partial least squares approach was used using the Farouk et al. method to model structural equations. The statistical population of this stage is all employees working in the design and development department (exploration arm) and the operation department (operation arm) of the country's regional power companies, totaling 100 people. Findings: In the text information extraction stage, the patterns in the data were examined, determined, and analyzed using the Clark and Brohn context analysis method. In the step of fuzzy interpretive structural modeling, each of the experts expressed his opinion by completing paired comparison questionnaires, and based on that, the proposed model of this study was presented, consisting of 6 dimensions, 17 components, and 69 indicators. Conclusion: The most important goal of the organizational governance model based on organizational ambidexterity is to implement a check and balance system that minimizes conflict of interest.
